Capgemini has completed its $3.3 billion acquisition of WNS, an Indian-origin business process management company. WNS had a strong footprint in the BPS / digital operations domain and domain-specific process knowledge (e.g., finance & accounting, analytics) that complements Capgemini’s tech + consulting strengths.

With this acquisition, Capgemini gains WNS’s deep domain expertise in finance, analytics, and customer experience operations, complementing its own strengths in consulting, cloud, and AI.

Together, they aim to redefine how enterprises run core business functions, not just automating workflows, but enabling AI agents to think, act, and learn across operations.

Capgemini’s CEO, Aiman Ezzat, and WNS’s CEO, Keshav R. Murugesh, have both spoken publicly about shared vision and cultural alignment.

On July 7, 2025, Capgemini and WNS announced that they had entered into a definitive transaction agreement, pursuant to which Capgemini acquired WNS to create a global leader in Agentic AI-powered Intelligent Operations for a cash consideration of 76.50 USD per WNS share

On September 18, 2025, Capgemini announced the completion of the WNS acquisition, priced at a total of €4.0 billion in bonds to finance this transaction, refinance its financial debt, and for general corporate purposes of the Group. As a result of this bond issuance, the bridge loan signed in the context of the acquisition was cancelled. WNS will be consolidated into Capgemini’s financial statements as of October 17, 2025.
