Capgemini and WNS have formally agreed on a transaction in which Capgemini will acquire WNS for a cash consideration of 76.50 USD per WNS share. This price reflects a premium of 28% on the 90-day average share price, 27% over the 30-day average, and 17% over the last closing price as of July 3, 2025. The total cash outlay will be approximately $3.3 billion, excluding WNS’s net financial debt.
This acquisition is projected to enhance Capgemini’s normalized earnings per share (EPS) by 4% prior to realizing synergies in 2026, increasing to 7% post-synergies in 2027. Both Capgemini’s and WNS’s Boards of Directors have unanimously endorsed the transaction.
